Plaintiff Matix had an exclusive license continuous (if it met sales minimums, which it did) with defendant Rawlings since 1994 to manufacture and sell baseball/softball and other sports equipment backs to retailers through the Rawlings sales force everywhere except Japan. Rawlings agreed not to sell or promote competitors’ bags. In March, 2003, defendant K2, Inc. purchased Rawlings and in September, 2003, K2 purchased Worth, Inc., which also sold baseball/softball and other sports equipment bags, and combined Rawlings and Worth, including the sales force.

On January 31, 2003, Matrix sued Rawlings in Federal Court in Maine, and one (1) business day later, on February 3, 2003, Rawlings sued Matrix in Federal Court in St. Louis and on the same day, sent a letter terminating the Matrix license agreement. The Maine lawsuit was transferred and consolidated with the St. Louis lawsuit and Matrix was re-aligned as the plaintiff and joined K2, Inc. as a defendant.

Matrix sued Rawlings for breach of contract and K2, Inc. for tortious interference with business relations. Before trial, the Court ruled that Rawlings’ attempt to terminate the contract was ineffective. The jury found for Matrix and awarded Matrix $4,096,312.00 for lost profits for breach of contract for 10 years, $2,053,688.00 for losses beyond 10 years for breach of contract and awarded Matrix $2,500,000.00 against K2 for tortious interference with business relations. The jury deliberated less than 3 hours over two days. In addition to the jury award, Matrix is seeking attorney’s fees pursuant to the contract as the prevailing party.
